Wellrundigital LLC Service Level Agreement (SLA)

Effective Date: December 26, 2023

1. Acceptance of Terms

Wellrundigital LLC builds technologies, sells products and provides services that enable people and businesses to automate and outsource workloads and processes to AI agents. These Terms of Service (the “Terms”) govern your use of Retrostar, Asmbot and the other products, features, apps, services, technologies and software that we offer (the Wellrundigital LLC Products and Services or Products or Services), except where we expressly state that separate terms (and not these) apply.

By using the services provided by Wellrundigital LLC (“Service Provider”), the user (“Client”) agrees to be bound by the terms of this Service Level Agreement (“Agreement”). This Agreement sets forth the general terms and conditions of your use of products and services provided by Wellrundigital LLC.

  • 1.1 Reservation of Rights: All rights to the Services and related intellectual property belong to Wellrundigital LLC.
  • 1.2 Entire Agreement: These Terms constitute the entire agreement between Service Provider and the Client and supersede prior agreements.
  • 1.3 Assignment: Client may not transfer these Terms without our consent.

2. Service Commitments

  • 2.1 Service Availability: The Service Provider endeavors to maintain the highest level of service availability but does not guarantee continuous service uptime. Availability may be affected by factors outside the control of the Service Provider, including external platform dependencies and cloud provider issues.
  • 2.2 Maintenance and Support: Scheduled maintenance will be conducted with prior notice to Clients, aiming to minimize service disruptions.

3. Use of Services

  • 3.1 Compliance: Clients are responsible for ensuring that their use of the Service Provider’s services complies with all applicable laws and regulations.
  • 3.2 Content Responsibility: The Client is solely responsible for the content generated and actions taken by the AI agents provided by the Service Provider.

4. Data Protection and GDPR Compliance

  • 4.1 Data Security: The Service Provider commits to storing and processing data securely. No sensitive personal data is collected or stored by the Service Provider.
  • 4.2 GDPR Compliance: The Service Provider adheres to the General Data Protection Regulation (GDPR) standards for clients within the European Union.
  • 4.3 Data Usage: Data collected will be used strictly for the purpose of delivering and improving services.

5. Force Majeure

  • 5.1 Non-Liability: The Service Provider shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause that is beyond the reasonable control of the Service Provider (e.g., natural disasters, war, government regulations).

6. Fees and Payment Agreement

  • 6.1 Service Fees: Clients agree to the fees and payment terms associated with the services provided by the Service Provider as detailed in the respective service agreements or contracts.
  • 6.2 Subscription plans: We offer various subscription plans. Paid plans require a valid credit card. We use third-party payment processors. By providing payment information, you warrant its accuracy and legality.
  • 6.3 Refunds: Billing is monthly or yearly with no refunds for partial service periods. Update your billing information promptly to avoid account termination.

7. Confidentiality

  • 7.1 Protection of Confidential Information: The Service Provider agrees to protect the confidentiality of the Client’s information and shall not disclose such information except as required by law or with the Client’s consent.

8. Client Responsibilities

  • 8.1 Compliance with Software Usage: Clients are responsible for complying with the terms of use for software and services provided by the Service Provider.
  • 8.2 Limitations on Use: Clients must not use the services in any way that is unlawful, harmful, or in violation of the rights of others.

9. Termination

  • 9.1 Termination Rights: The Service Provider reserves the right to suspend or terminate services at any time for violations of this Agreement or if required by law or regulatory authorities.

10. Dispute Resolution

  • 10.1 Resolution Process: Any disputes arising from the use of the services will be addressed through email communication with the Service Provider.

11. Modifications to Agreement

  • 11.1 Amendments: The Service Provider reserves the right to modify the terms and conditions of this Agreement at any time, effective upon posting an updated version on the website.
  • 11.2 Continuing to use the Services after updates signifies your acceptance. Discontinue use immediately if you disagree with the changes. We may also change or discontinue any part of the Services without notice.

12. Accounts and Membership

  • 12.1 Account Creation: You must provide accurate User Information and be at least thirteen (13) years old. User Information is governed by our Privacy Policy.
  • 12.2 Account Protection: You are responsible for safeguarding your User Information and must notify us of any unauthorized use.
  • 12.3 Unauthorized Use: We may monitor new accounts. False information may lead to termination. Notify us immediately of security breaches. We are not liable for your omissions or damages incurred.

13. Links to Other Websites

We are not responsible for third-party websites linked from our Services.

14. Prohibited Uses

Using our Services for unlawful or harmful purposes is prohibited. You must not violate any laws or infringe on intellectual property rights. Misuse of our Services may result in termination.

15. Content and Intellectual Property Rights

(a) Your Content: You retain rights to your content. By using our services, you grant us a limited license to use and modify your content. (b) Your Responsibility: You are responsible for your content and ensure it doesn’t violate any laws or third-party rights. (c) Third-Party Digital Materials: Use of third-party materials provided through our Services is subject to specific restrictions and licenses.

16. Disclaimer of Warranty

Our Services are provided “AS IS” without warranties. Use of our Services and any Third-Party Content is at your own risk.

17. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our liability is limited to greater of $100 or amounts paid to us in the past six months.

18. Indemnification

You agree to indemnify us against claims arising from your use of the Services or any willful misconduct on your part.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Wyoming, without regard to its conflict of law principles.

20. Acknowledgment

Use of the Service Provider’s services constitutes the Client’s acceptance of this Agreement. Clients are encouraged to review this Agreement periodically for updates.
